Who these terms are between

These Terms and Conditions (the "Terms") are between uCurrent Limited Liability Company, a Wyoming limited liability company ("uCurrent", "we", "us", "our"), and you. They govern your use of ucurrent.io and every page, form, and booking tool we operate under the uCurrent name, together with the communications you have with us through them (together, the "Site").

By using the Site, submitting a form on it, or booking a call through it, you agree to these Terms and to our Privacy Policy, which is part of them. If you do not agree, do not use the Site.

What uCurrent is, and what it is not

uCurrent introduces business owners to services, people, and resources related to running and funding a business. Some of what we help you with is delivered by us. Some is delivered or funded by another company we work with, and where that is the case we will tell you who it is before you commit to anything, and that company's own agreement and policies will govern that service.

uCurrent is not a bank, lender, credit union, broker-dealer, investment adviser, law firm, or accounting firm. We do not make loans and we do not extend credit. Nothing on the Site, and nothing said on a call with us, is legal, tax, investment, or financial advice, and using the Site does not create a fiduciary, advisory, or client relationship between you and uCurrent. If you need that kind of advice, please consult a licensed professional.

No promises about outcomes

We do not promise that you will qualify for, be approved for, or receive any funding, credit, or other outcome, or that any service will produce a particular result. Any figure, range, or timeline discussed with you is an estimate based on what you have told us and is not a commitment. Decisions about credit and funding are made by the institutions that provide them, under their own criteria, which we do not control.

Who may use the Site

You must be at least eighteen years old and located in the United States to use the Site. If you use it on behalf of a business, you confirm that you have the authority to act for that business and that these Terms bind it as well as you.

The information you give us

You agree that the information you provide through the Site is accurate, current, and yours to give. If you provide information about another person, such as a co-owner, you confirm that you are authorized to share it. We rely on what you tell us to decide how best to help you, and inaccurate information can send you down the wrong path.

Permission to contact you

When you give us your contact details, you agree that uCurrent may contact you at those details, by email or telephone call, about your inquiry and about our services. If a partner referred you to us, or you ask about a service another company delivers, that company may also contact you by email or telephone call about it. Text messages are different, and are covered by the next section.

You can withdraw your consent to any form of contact at any time by writing to info@ucurrent.io.

SMS terms

The program. If you check the consent box in the chat window on our website, uCurrent will send you informational and transactional text messages, such as replies to your inquiry, appointment reminders, and account notifications. We do not send marketing or promotional text messages. Text messages are sent by uCurrent only. Your agreement to receive them is given to uCurrent alone and is not extended to any partner, provider, or other company.

How often. Message frequency varies. Message and data rates may apply.

Opting out. Reply STOP to any message to stop receiving texts. You will receive one final message confirming that you have been unsubscribed, and no further messages after that unless you opt in again.

Sending number. Our text messages come from (702) 941-6608.

Carriers. Carriers are not liable for delayed or undelivered messages.

Not a condition of purchase. Consent to receive text messages is not a condition of purchasing anything from us.

Privacy. No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. We do not share your SMS opt-in data or consent with any third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for how we handle your information.

Electronic communications

You agree that we may provide notices, disclosures, agreements, and other communications to you electronically, by email or through the Site, and that electronic delivery satisfies any requirement that a communication be in writing. You may request a paper copy of any communication, or withdraw your consent to electronic delivery, by writing to info@ucurrent.io. Withdrawing consent may mean we cannot continue to provide some services.

To receive communications electronically you need a device with an internet connection, a current web browser, an email address, and software that can open PDF files.

Booking a call

The Site may let you book a call with a member of our team. Booking holds the time and nothing more: it creates no obligation on either side beyond the appointment itself, and no fee is charged for booking. If you cannot attend, please tell us at info@ucurrent.io so the time can be released to someone else.

Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in a way that breaks these Terms;
• access the Site, or collect information from it, by automated means, or interfere with its operation or security;
• misrepresent who you are, who you act for, or the information you submit;
• copy, frame, reproduce, distribute, or create derivative works from the Site or its content without our written permission.

Intellectual property

The Site and everything on it, including text, design, graphics, logos, and code, belong to uCurrent or to the people who license it to us, and are protected by copyright and trademark law. The uCurrent name, the uCurrent mark, and the tagline "Business in motion" are marks of uCurrent. Nothing on the Site grants you any license or right to use them. You may view and print pages for your own reference, and nothing more.

Third-party sites and services

The Site may link to sites and services that other companies operate, including the sites of partners who refer people to us and of providers who deliver services we help arrange. We do not control those sites and are not responsible for their content, accuracy, availability, or privacy practices. A link is provided for your convenience and is not an endorsement.

Disclaimer of warranties

The Site and its content are provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on it is accurate, complete, or current. Your use of the Site is at your own risk.

Limitation of liability

To the fullest extent the law allows, uCurrent and its members, managers, officers, and contractors will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, or business interruption, arising out of or relating to the Site or these Terms, even if we have been told such damages are possible. Our total liability to you for all claims arising out of or relating to the Site or these Terms will not exceed the greater of the fees you paid to uCurrent in the twelve months before the claim arose and one hundred United States dollars. Some jurisdictions do not allow some of these limitations, in which case they apply to you only to the extent permitted.

Indemnification

You agree to defend, indemnify, and hold harmless uCurrent and its members, managers, officers, and contractors from any claim, loss, liability, or expense, including reasonable legal fees, that arises out of or relates to your use of the Site, your breach of these Terms, or any information you submit that is inaccurate or that you were not authorized to provide.

Resolving disputes

Please read this section carefully. It affects your rights, including your right to bring a claim in court and to participate in a class action.

Talk to us first. If you have a dispute with us, write to info@ucurrent.io with a description of the problem and what you would like us to do. We will try to resolve it with you informally. If we have not resolved it within thirty days of your notice, either of us may start arbitration as described below.

Binding individual arbitration. Any dispute, claim, or controversy arising out of or relating to the Site, these Terms, or our relationship with you, including whether it is subject to arbitration, will be resolved by binding arbitration administered by the American Arbitration Association under its rules in effect when the claim is filed, before a single neutral arbitrator. The Federal Arbitration Act governs this section. The arbitration will be seated in Sheridan County, Wyoming, and may be conducted by video or telephone where the rules allow. The arbitrator may award the same relief a court could award to you individually. Each side bears its own costs unless the rules or the arbitrator provide otherwise.

No class actions. You and uCurrent agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not combine one person's claims with another's.

Jury waiver. By agreeing to arbitrate, you and uCurrent each give up the right to a trial by jury and the right to have a dispute decided by a court, except as this section provides.

Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may seek an injunction or other equitable relief in court to protect intellectual property or to stop unauthorized use of the Site.

Notice address. Written notice of a dispute, or of an arbitration demand, is served on us at uCurrent Limited Liability Company, 30 N Gould St, Ste R, Sheridan, WY 82801, with a copy to info@ucurrent.io.

Governing law

These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Wyoming and applicable federal law, without regard to conflict of law principles. Where a matter is not subject to arbitration under the section above, you and uCurrent agree to the exclusive jurisdiction of the state and federal courts sitting in Sheridan County, Wyoming.

Changes to these Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on the Site with a new effective date, and where the change is material and we hold an email address for you, we will tell you by email. Your continued use of the Site after a change takes effect means you accept the revised Terms.

Other terms

These Terms and the Privacy Policy are the entire agreement between you and uCurrent about the Site, and replace any earlier understanding about it. They do not replace any separate written agreement you sign with us for a specific service; where the two conflict, the signed agreement governs that service. If any part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to a company under common control with uCurrent or to a successor in a merger, acquisition, or sale of assets. Nothing in these Terms creates rights for anyone other than you and uCurrent.
